These notes were developed in Semester 2, 2012 and used to good effect in achieving a Distinction grade in 3002LAW Corporate Governance and Regulation. Focusing primarily on the Corporations Act 2001 (Cth) and supporting case law, these notes give a detailed overview of the law governing the activities of corporations in Australia, their directors and shareholders. Major topics include directors’ duties of loyalty and good faith, the duty to avoid conflicts of interest, duties of care, skill and diligence, members’ rights, securities and advisors, market regulation, disclosure requirements and external administration.
